Arkade Developers has approved the conversion of an existing inter-company loan of Rs. 12.61 crore given to its wholly owned subsidiary Filmistan Private Limited (FPL) into equity shares. The loan will be converted into 7,415 shares of Re. 1 each at a premium of Rs. 16,999 per share, resulting in 7.41% additional shareholding. FPL is a 1943-incorporated entity engaged in film production, distribution and real estate leasing, with a negative networth of Rs. 12.03 crore and a turnover of Rs. 14.95 lakhs in FY25. The company clarified that no fresh capital is being infused — this is purely a restructuring of existing exposure. The transaction is between holding company and its wholly owned subsidiary, done at arm's length, and is expected to be completed within one month.
This is a non-cash, internal balance sheet restructuring with no impact on Arkade's cash flows or shareholder dilution. It does clean up the subsidiary's debt position and strengthens Arkade's equity in FPL, but is largely procedural and neutral for shareholders.
