Artson Ltd's board, at its meeting on 1st November 2025, approved entering into a Joint Venture Agreement (JVA) with Malabar Cements Limited (MCL), Kochi. The JV will combine Artson's execution capabilities in shipbuilding, fabrication, mechanical, installation, outfitting, and MEP works for the maritime industry with MCL's waterfront land of about 7 acres (including roughly 45m of waterfront access). The JV will be unincorporated, with profit and loss shared through dynamic slab-based ratios. Artson will nominate three and MCL two representatives on the supervisory board. The transaction is not a related-party deal and involves no share issuance.
This JV gives Artson access to waterfront infrastructure for maritime industry work, potentially opening a new revenue stream beyond its current engineering business. For shareholders, it represents a strategic diversification move, though actual financial impact will depend on the JV's future earnings and project wins.
