Artson Ltd's board, meeting on 1st November 2025, approved a Joint Venture Agreement with Malabar Cements Limited (MCL), a Kerala-based company. The JV will combine Artson's capabilities in shipbuilding, fabrication, mechanical, installation, and MEP works for maritime products (ships, boats, vessels, barges, floating platforms) with MCL's waterfront land of about 7 acres (including ~45m of waterfront access). It will be structured as an unincorporated JV with profit/loss sharing based on dynamic slabs, and Artson and MCL will have 3 and 2 representatives respectively on the supervisory board. The transaction is not a related-party deal, involves no share issuance, and carries no conflict of interest.
This JV opens a new maritime/shipbuilding vertical for Artson by giving it access to waterfront infrastructure that it previously lacked, potentially expanding its addressable market and order pipeline. For shareholders, it is a strategic positive but the financial impact remains to be seen as profit-sharing slabs and JV economics are yet to be disclosed.
