Aryaman Financial Services Ltd has set up a new wholly owned subsidiary called Aryaman Finance (India) Limited, which was incorporated on January 31, 2025. The company has invested Rs. 10.40 crore by subscribing to 1,04,00,000 equity shares of Rs. 10 each in the new subsidiary through a rights issue on March 31, 2025. The subsidiary is being set up to operate as a Non-Banking Financial Company (NBFC), offering loans, money lending, bill discounting, factoring and guarantee services, subject to RBI approval. This is a related party transaction done at arm's length, with the parent holding 99.99% of the subsidiary.
This is a backward integration move where the parent is investing Rs. 10.40 crore of its own funds into a new NBFC arm. For shareholders, the short-term impact is a Rs. 10.40 crore cash outflow, but if RBI approval comes through and the NBFC scales up lending, it could open up a new revenue stream in financial services.
