Ashiana Ispat Limited has reconstituted its Audit Committee with immediate effect from December 23, 2025. Mr. Puneet Jain, Promoter Executive Director and Managing Director, has been removed as a member of the Audit Committee. Ms. Darshan, a Non-Independent Non-Executive Director, has been appointed in his place. The reconstituted committee now has three members: Mr. Kamal Wadhwani (Independent, Chairman), Ms. Pooja Dhiman (Independent), and Ms. Darshan (Non-Independent Non-Executive). The change was made to comply with Section 177 of the Companies Act, 2013 and SEBI LODR Regulation 18, which govern Audit Committee composition.
This is a routine compliance-driven restructuring with no change in leadership or board control. Mr. Puneet Jain continues as Managing Director, so there is no material impact on shareholders or the stock price.
