The NCLT Mumbai Bench has sanctioned a Composite Scheme of Arrangement on October 10, 2025 involving Allcargo Logistics, Allcargo Gati, and three group entities. Under the scheme, the International Supply Chain Business of Allcargo Logistics will be demerged into a new resulting company, Allcargo Global Limited, at a 1:1 share ratio. Additionally, contract logistics and express distribution subsidiaries (ASCPL and GESCPL) will be amalgamated into Allcargo Gati at ratios of 2:10 and 3475:10 respectively, and Allcargo Gati will subsequently merge into Allcargo Logistics at 63:10. The Appointed Date 1 is October 1, 2023, and the scheme becomes effective on filing with the Registrar of Companies. The restructuring aims to create two focused, independent listed entities—one for international supply chain and one for express/contract logistics—simplifying the group structure and unlocking shareholder value.
Allcargo Logistics shareholders will receive shares in the newly listed Allcargo Global Limited, while Allcargo Gati shareholders will get shares in the consolidated Allcargo Logistics post-merger. The restructuring simplifies the group into two clean listed entities focused on distinct business verticals, which could unlock value and improve strategic clarity, though tax authority concerns about the scheme have been noted in the order.
