Allcargo Gati Limited has informed the exchanges that the NCLT Mumbai Bench, via its order dated October 10, 2025, has sanctioned the Composite Scheme of Arrangement and Amalgamation. Form INC-28 along with the certified NCLT order was filed with the Registrar of Companies on November 1, 2025, making the scheme effective from that date. Under the scheme, Allcargo Gati Limited, along with Allcargo Supply Chain Pvt Ltd and Gati Express and Supply Chain Pvt Ltd, has been amalgamated into Allcargo Logistics Limited, and Allcargo Gati has ceased to exist as a separate legal entity. The Board Meeting scheduled for November 5, 2025 to approve Q2 FY26 results has been cancelled, as financials will now be part of ACL's consolidated accounts.
Allcargo Gati shareholders will become shareholders of Allcargo Logistics Limited as the listed entity AGL ceases to exist. The stock (ACLGATI) will likely be delisted, and investors' value will now be reflected through their ACL holdings per the approved swap ratio.
