Rolta India has submitted its Annual Secretarial Compliance Report for FY2024-25, prepared by Tarun Koli & Associates. The company remains under Corporate Insolvency Resolution Process (CIRP) since 19 January 2023, with a moratorium in place under Section 14 of the IBC, 2016. Two ongoing non-compliances were flagged: (1) no qualified Company Secretary appointed as Compliance Officer (Regulation 6), attracting a fine of Rs. 1,07,380 from NSE, and (2) delayed submission of quarterly financial results for June, September, and December 2024 quarters (Regulation 33), attracting a fine of Rs. 3,42,400 from NSE. Both issues are attributed to financial, HR, and operational challenges caused by the ongoing CIRP. Previously reported non-submission of FY24 results (fine of Rs. 36,45,000) has now been remediated. Statutory auditor M/s Shah & Mantri was reappointed via postal ballot in October 2024 for FY2024-25.
For shareholders, this filing confirms continued regulatory stress and financial difficulties at Rolta due to its ongoing insolvency proceedings, with cumulative NSE penalties indicating governance weakness. While some prior compliance gaps have been closed, the persistent inability to appoint a Company Secretary and delayed financial reporting reinforce concerns about operational stability and may continue to weigh on the stock.
