Ashika Credit Capital Ltd's composite scheme of amalgamation involving two entities — Ashika Commodities & Derivatives Private Limited merging into Ashika Global Securities Private Limited, and then AGSPL merging into ACCL — became effective on May 15, 2026. The appointed date for the scheme is April 1, 2025. A record date of May 27, 2026 has been fixed to determine eligible shareholders of AGSPL for share allotment. The share exchange ratio is 6,726 fully paid-up equity shares of ACCL for every 10,000 equity shares held in AGSPL, resulting in issuance of 4,03,52,586 new shares. As part of the restructuring, the existing 25.38% cross-holding held by AGSPL and ACDPL in ACCL (1,13,51,990 shares) stands cancelled. The company's name will change to 'Ashika Global Securities Limited'. Authorised capital increases to Rs 141.40 crore. Multiple subsidiaries from AGSPL now come under ACCL's umbrella.
ACCL shareholders of AGSPL will receive new ACCL shares per the exchange ratio. ACCL's cross-holding cancellation and new share issuance will alter the cap structure and shareholder composition. The name change and expanded subsidiary base reflect a broader financial services entity post-merger.
