Ashika Credit Capital Ltd held an NCLT-convened meeting of equity shareholders on 9th January 2026 to approve a Composite Scheme of Amalgamation. Under the scheme, Ashika Commodities & Derivatives Pvt Ltd (ACDPL) will first merge into Ashika Global Securities Pvt Ltd (AGSPL), and then AGSPL will merge into Ashika Credit Capital Ltd (ACCL), with an appointed date of 1st April 2025. The resolution was passed with overwhelming shareholder support — 99.9999% of votes were in favour when including promoter votes, and 99.9986% excluding promoters, with only 28 votes against out of over 2.79 crore polled. Of 4,380 shareholders on the record date, 50 attended via video conferencing, representing 59.04% of total equity value, meeting the quorum requirement. The meeting was conducted via VC/OAVM and the scrutinizer confirmed the results.
The amalgamation, once sanctioned by NCLT, will consolidate AGSPL and ACDPL into Ashika Credit Capital Ltd, simplifying the group structure and potentially expanding its business. Shareholders have already approved the move with near-unanimous support, reducing approval risk. This is a positive structural step, though investors should await NCLT's final order for the scheme to take effect.
