Ashika Credit Capital Ltd (ACCL) held an NCLT-convened meeting of equity shareholders on 9th January 2026 via video conferencing, where shareholders approved a Composite Scheme of Amalgamation with an overwhelming 99.9999% majority (27,997,060 votes in favour out of 27,997,088 valid votes cast). The scheme merges Ashika Commodities & Derivatives Pvt Ltd (ACDPL) into Ashika Global Securities Pvt Ltd (AGSPL), and then merges AGSPL into ACCL (the listed entity), with an appointed date of 1st April 2025. The meeting was directed by NCLT Kolkata Bench via its order dated 14th November 2025, with 50 shareholders attending representing 59.04% of total share value. Quorum was present and the resolution was declared passed, paving the way for the scheme to be formally sanctioned by NCLT.
This is an intra-group consolidation that simplifies the Ashika group structure by merging two wholly-related entities (ACDPL and AGSPL) into the listed company ACCL. Shareholders have cleared the path for NCLT to grant final sanction; once effective, it may marginally expand ACCL's equity base but should not materially change business operations or dilute public shareholders meaningfully.
