Ashika Credit Capital Ltd (BSE Scrip: 543766) has filed a SAST disclosure following a Composite Scheme of Amalgamation approved by NCLT Kolkata on 08.05.2026. Under the scheme, Ashika Commodities & Derivatives Pvt Ltd (wholly-owned subsidiary) merged into Ashika Global Securities Pvt Ltd, which then merged into Ashika Credit Capital Ltd. As a result, the Promoter and Promoter Group (PAC) shareholding increased from 57.99% (2,59,36,596 shares) to 72.74% (5,49,37,186 shares) of total equity capital. The promoter group now holds nearly three-quarters of the company after this restructuring. 1,13,51,990 existing promoter shares held by the amalgamating companies were cancelled under the scheme, with 4,03,52,580 new shares allotted to their shareholders at a ratio of 6726:10000.
This is a significant increase in promoter holding from ~58% to ~73%, indicating strong promoter conviction and consolidation of control. The stock may be viewed positively given the restructuring simplifies the corporate structure and strengthens promoter commitment.
