ASI Industries promoter group has informed the exchange about an inter-se transfer of 2,75,02,779 shares (30.53% of share capital) from Deepak Jatia (HUF) to its individual members, following the dissolution and full partition of the HUF. Of these, 2,74,99,779 shares will vest in Mr. Deepak Jatia personally, while 1,000 shares each will go to Mr. Tushya Jatia, Mrs. Anita Jatia, and Ms. Prerna Agarwal. No consideration is involved as this is a family succession and asset restructuring exercise. The transaction, scheduled for 16 June 2025, is exempt from open offer requirements under Regulation 10(1)(a) of SEBI SAST Regulations. Aggregate promoter group holding remains unchanged at 45.53% before and after the transfer.
No change in total promoter ownership or control of the company, so there should be no material impact on the stock price. Mr. Deepak Jatia emerges as the single largest individual shareholder with ~35% stake, which provides clarity on succession and decision-making within the promoter group.
