Asian Hotels (East) Limited has disclosed the results of its Postal Ballot conducted via remote e-voting from April 10 to May 9, 2025. All three special resolutions were approved with overwhelming majority (over 99.98% in favour). The resolutions include: (1) Reappointment of Mr. Umesh Saraf as Joint Managing Director with remuneration, (2) Reappointment of Mr. Arun Kumar Saraf as Joint Managing Director with remuneration, and (3) Appointment of Ms. Swati Singhania as Non-Executive Independent Woman Director. Of the 11,701 shareholders on the cut-off date, about 1.15 crore shares were voted in favour across all resolutions, with only 2,244-2,252 dissenting shares. The promoter group voted 100% in favour, and public shareholders showed roughly 99% support.
The reappointment of both Saraf brothers as Joint Managing Directors confirms continuity in leadership of the company that operates the Hyatt Regency Kolkata. The new independent woman director addition also strengthens board diversity. This is largely a procedural formality given the strong promoter holding (100% vote in favour), so it is unlikely to move the stock price meaningfully.
