Asian Warehousing Ltd has informed BSE that promoter Mrs. Rekha R Bhimjyani will acquire 4,99,000 equity shares (about 14.31% of paid-up share capital) as a gift from her immediate relative, Mr. Bhavik Rashmi Bhimjyani (Chairman & Managing Director). The transfer is off-market and without any consideration. Post-transfer, Rekha Bhimjyani's stake will rise from 10.07% to 24.38%, while Bhavik Bhimjyani's stake will drop from 14.46% to just 0.15%. The aggregate promoter and promoter group holding remains unchanged at about 70.88% of the company. The transaction falls under Regulation 10(1)(a)(i) of SEBI Takeover Regulations and is exempted from the open offer requirement. The execution is scheduled on or after December 09, 2025.
No impact on overall promoter control since this is a reshuffling of shares within the promoter family. The aggregate promoter holding stays the same, so minority shareholders are unaffected and there is no open offer triggered.
