Promoter Mrs. Rekha R Bhimjyani has informed BSE of a proposed inter-se transfer of 4,99,000 equity shares (14.31% of paid-up capital) from her immediate relative Mr. Bhavik Rashmi Bhimjyani, by way of gift at Nil consideration. The transaction is exempt from open offer obligations under Regulation 10(1)(a)(i) for transfers among immediate relatives and is scheduled to be executed on or after December 9, 2025. Post-transfer, Mrs. Rekha Bhimjyani's stake will rise from 10.07% to 24.38%, while Mr. Bhavik Bhimjyani's stake will drop from 14.46% to just 0.15%. The aggregate promoter and promoter group shareholding in the company will remain unchanged at around 70.88% before and after the transfer.
This is a neutral internal reshuffling within the promoter family and does not change overall promoter control or the company's free float. Shareholders should note that concentration of voting power is simply shifting from one family member to another, with no cash transaction involved.
