ASM Technologies' board has approved acquiring a 51% stake in Asmaitha Wireless Technologies Pvt Ltd for Rs 79.57 Crores in cash. Asmaitha is a 16-year-old Indian engineering and design-led manufacturing company specializing in embedded systems, firmware, wireless technologies, IoT modules, and telecom infrastructure, with products including medical wearables for the US market. Asmaitha's turnover has declined sharply from Rs 14.78 Cr (FY23) to Rs 12.74 Cr (FY24) to Rs 3.67 Cr (FY25). The deal is not a related-party transaction and needs no government approvals. A Share Purchase Agreement is expected within 90 days, with the full investment to be completed over five years.
The acquisition gives ASM a strategic foothold in the wireless and embedded design-led manufacturing space, including IoT and telecom, which could broaden its service portfolio. However, the steep decline in Asmaitha's revenue (roughly 75% drop from FY23 to FY25) and the high implied valuation (around Rs 156 Cr for 100%) may concern investors, as the deal's success will depend on Asmaitha's ability to revive growth. Shareholders should watch for execution milestones over the next 90 days and the SPA terms.
