The Board of Directors of ASM Technologies Ltd approved the audited financial results (standalone and consolidated) for Q4 and the financial year ended 31 March 2025. The auditor M/s B K Ramadhyani & Co LLP issued an unmodified (clean) opinion on both the standalone and consolidated results. Standalone profit after tax for FY25 stood at Rs.342.27 million, a sharp turnaround from a loss of Rs.104 million in FY24, while consolidated PAT was Rs.145.44 million. The Board recommended a final dividend of Rs.3.00 per share (30% on face value of Rs.10) for FY25, subject to shareholder approval. The Board also allotted 3,54,551 equity shares to promoter Mr. S. Rabindra upon conversion of warrants at Rs.470.70 per share, bringing in Rs.12.50 crore. Additionally, M/s BMP & Co. LLP was appointed as the new Secretarial Auditor for five years (FY 2025-26 to FY 2029-30), and a postal ballot notice was approved for the re-appointment of Mr. M. Lakshminarayan as Independent Director.
Clean audit opinion, a sharp standalone PAT turnaround, a 30% dividend, and capital infusion from warrant conversion are positive signals for shareholders. The promoter-led warrant conversion signals promoter confidence, though the consolidated PAT dipped slightly year-on-year.
