Astal Laboratories has approved the allotment of 10,425,612 equity shares to discharge the consideration for its 100% acquisition of Sriven Pharmachem India Private Limited (SPIPL), a pharmaceutical company making drug intermediates, specialty chemicals, and active pharmaceutical ingredients (APIs). The total cost of acquisition is about Rs. 27.72 crore, partly in cash (Rs. 29.63 lakh) and partly through a share swap at roughly a 1:1 ratio. SPIPL reported a turnover of Rs. 102.70 crore in FY25 (up sharply from Rs. 35.85 crore in FY23), but its net profit fell to Rs. 69.92 lakh in FY25 from Rs. 4.91 crore in FY24. The deal is a related party transaction since a director of Astal is a shareholder of SPIPL.
The acquisition will make Astal a fully integrated pharmaceutical manufacturer by adding API and intermediate capabilities, which could support long-term revenue growth. However, the recent decline in SPIPL's profitability and the related-party nature of the deal are points shareholders should watch closely.
