Aster DM Healthcare has sent a Postal Ballot Notice to shareholders seeking approval via e-voting (March 14 to April 12, 2026) for two special resolutions. The first is the redesignation of founder Dr. Azad Moopen (72 years old) from Chairman and Managing Director to Chairman and Executive Director for the period April 15, 2026 to May 28, 2028, keeping him in an executive role through the merger integration with Quality Care India Limited (QCIL). His consolidated remuneration is capped at INR 10 crore per annum, unchanged since 2024, and shareholder approval is also sought for his continuation past age 70. The second resolution seeks approval to give loans, guarantees, or securities up to INR 1,500 crore to subsidiaries, joint ventures, associates, and group companies in the hospital, pharmacy, and diagnostics businesses, valid for three years, under Section 185 of the Companies Act.
Routine governance actions rather than negative news. Shareholders get to vote on keeping the founder in a hands-on executive role during a major merger and on authorising up to INR 1,500 crore of inter-group financial support, both of which are already backed by the Board and Audit Committee.
