Aster DM Healthcare's Investment and Finance Committee approved two key moves. First, the company will acquire an additional 13% stake in its subsidiary Dr. Ramesh Cardiac & Multispecialty Hospital (DRCM) for ₹63.01 crores in cash, triggered by DRCM promoters exercising a put option from a 2016 shareholder agreement. This lifts Aster DM's holding in DRCM from 57.49% to 70.49%. DRCM reported ₹258 crores in turnover and ₹12.82 crores in profit for FY25. Second, the company signed a 30-year lease with KEMWELL Private Limited to set up a 500-bed super-specialty hospital in Yeshwanthpur, Bengaluru, with an investment of ₹580 crores funded through bank loans and internal accruals, targeted for H2 FY 28-29. Current bed capacity stands at 5,159 with 65% occupancy.
The acquisition strengthens Aster DM's control over an existing profitable subsidiary, while the new 500-bed Bengaluru hospital signals a significant capacity expansion to tap growing tertiary care demand. Shareholders may view this as a positive growth-oriented move, though the ₹580 crore capex and put-option-driven acquisition increase cash outflow commitments.
