Astonea Labs held its 8th AGM on 27th December 2025 at Mercure Hotel, Chandigarh, and submitted the voting results to BSE on 28th December 2025. Out of 1,05,11,000 total shares, 76,39,590 shares (72.68%) were polled, and all 9 resolutions put to vote were passed unanimously with 100% votes in favour and zero against, across only 14 voting members. The resolutions covered adoption of FY25 audited financials, retirement and replacement of a director, approvals for foreign subsidiary/JV investments, acquisition of equity in a business, voluntary adoption of IND AS from FY 2026-27, and regularization of three directors. Notably, Item 5 relating to modification in utilisation of IPO proceeds was withdrawn by the company via a corrigendum dated 16 December 2025 and was not put to vote. Promoter group voted in full (99.93% participation) while public non-institutional shareholders showed very low turnout at just 1.56%.
The clean, unanimous approval of all resolutions gives the management clear mandate to pursue acquisitions, set up foreign subsidiaries, and adopt IND AS accounting from FY 2026-27, which could expand the company's business footprint but also carries execution risk. The withdrawal of the IPO proceeds reallocation item and very thin public shareholder participation (only 44,620 non-institutional shares voted out of 28.65 lakh) signals weak retail engagement and may be worth monitoring.
