Athena Global Technologies' board has approved the allotment of 7,00,000 convertible share warrants to Karthikeya Manchala, a promoter group member. The warrants were issued at Rs. 84 per warrant, and 25% of the total consideration (Rs. 1.47 crore) has been received upfront. The remaining 75% will be payable when the warrants are converted into an equal number of fully paid-up equity shares. Since the warrants have only been allotted (not yet converted), there is no change in the company's paid-up capital at this stage. The company received shareholder approval at an EGM on 25 March 2026 and in-principle approval from BSE on 1 April 2026.
Current shareholders face potential dilution once the warrants are converted into equity shares. The Rs. 84 issue price (including Rs. 74 premium) will determine the future conversion price, and any upside in the stock price could benefit the promoter upon conversion.
