ATV Projects India Ltd's board approved the unaudited financial results for the quarter ended 30 June 2025. Revenue from operations fell sharply to ₹1,525.89 lakhs from ₹1,983.20 lakhs in the same quarter last year, a decline of roughly 23%. Despite the revenue drop, profit after tax rose about 26% to ₹201.25 lakhs (from ₹159.95 lakhs) due to lower costs, lifting EPS to ₹0.38 versus ₹0.30 earlier. The statutory auditor RHAD & Co. issued an unqualified limited review report. The board also approved issuing 25 lakh convertible warrants on a preferential basis to the promoter at ₹41.50 per warrant (₹10 face value + ₹31.50 premium), subject to shareholder approval. Other items included reappointment of Whole-Time Director Arun Kumar Sharma and two Independent Directors for a second 5-year term, appointment of ND & Associates as Secretarial Auditor for 5 years, rectification to expand the surplus land available for sale/lease/JV from 2.71 acres to 3.29 acres, and fixing the AGM on 16 August 2025.
Shareholders will see a mixed picture — weaker top-line but improving profitability, with a possible equity dilution from the preferential warrants to the promoter if converted. The clean audit review and stable management reappointments reduce governance uncertainty ahead of the AGM.
