Techindia Nirman Ltd, a real estate development company, announced its FY25 audited results with revenue from operations at zero, unchanged from the previous year. The company reported a net loss of Rs. 82.76 Lakhs for FY25, widening from Rs. 36.69 Lakhs loss in FY24, with EPS of (Rs. 0.58). Reserves & surplus turned negative at Rs. (340.56) Lakhs. The NCLT admitted the company into Corporate Insolvency Resolution Process (CIRP) from January 2, 2025, after a petition by Agritech India Limited for recovery of dues, and a Resolution Professional now manages the company. Statutory auditors Gautam N Associates issued a qualified opinion, flagging multiple issues including non-provision of Rs. 2,920.39 Lakhs in accumulated interest on loans from Agritech India. If audit qualifications were adjusted, the net loss would balloon to Rs. 3,003.15 Lakhs and net worth would swing to negative Rs. 1,828.35 Lakhs.
This is a very negative filing for shareholders. The company is under formal insolvency proceedings with a Resolution Professional in charge, revenue is zero, losses are widening, reserves are negative, and the auditor has qualified the results. Existing equity holders face high risk of dilution, restructuring, or even extinction of value as the insolvency process plays out. Expect significant stock price weakness and trading volatility.
