Axis Bank has issued the notice for its 31st AGM scheduled for Friday, July 25, 2025 at 10:00 am, to be held via video conferencing. Shareholders will consider adoption of audited standalone and consolidated financial statements for FY25, declaration of dividend, and re-appointment of director Mini Ipe (who retires by rotation). The bank is also seeking approval to revise the remuneration of MD&CEO Amitabh Chaudhry to about ₹8.86 crore per annum and of Executive Directors Subrat Mohanty and Munish Sharda to about ₹4.76 crore each, effective April 1, 2025. Major capital-related proposals include enhancing the borrowing limit to ₹3,00,000 crores, raising up to ₹35,000 crores through private placement of debt securities, and raising up to ₹20,000 crores via equity shares or convertible securities. The bank is also seeking approval for material related party transactions with LIC, LIC Housing Finance, IDBI Bank and Axis Max Life Insurance, and appointing Bhandari & Associates as Secretarial Auditors for five years (FY26–FY30).
The combined fundraising envelope of up to ₹55,000 crores (₹35,000 crores debt + ₹20,000 crores equity) is significant and could lead to equity dilution if shares are eventually issued, potentially affecting existing shareholders. Higher pay for top management and the size of related-party transactions with promoter-related entities like LIC may attract investor attention and scrutiny at the AGM.
