Axis Bank held its 31st Annual General Meeting on July 25, 2025 via video conferencing, with 175 members present. All 14 resolutions tabled at the meeting were passed with the requisite majority. Key items approved include adoption of FY25 audited standalone and consolidated financial statements, declaration of a dividend for FY25, re-appointment of Mini Ipe as a director, appointment of Bhandari & Associates as secretarial auditors, and revision in remuneration for MD&CEO Amitabh Chaudhry and Executive Directors Subrat Mohanty and Munish Sharda effective April 1, 2025. Shareholders also cleared a sharp increase in the borrowing limit to Rs 3,00,000 crore, authorised raising up to Rs 35,000 crore via private placement of debt securities, and up to Rs 20,000 crore via equity shares or convertible instruments. Material related party transactions with LIC, LIC Housing Finance, IDBI Bank, and Axis Max Life Insurance were also approved. Voting was nearly unanimous on most items, with the dividend resolution seeing 99.99% approval and the re-appointment of Mini Ipe drawing the highest dissent at 5.37%.
The clean clearance of all 14 resolutions, including the higher borrowing and fund-raising authorisations, gives Axis Bank strong flexibility to raise capital or debt in the coming year without needing further shareholder approval. Routine AGM outcomes with overwhelming approval ratios are unlikely to move the stock on their own, but they reinforce shareholder confidence in management and the board.
