AYM Syntex Limited held an NCLT-convened meeting of unsecured creditors on May 25, 2026 to seek approval for the Scheme of Amalgamation of Mandawewala Enterprises Limited (Transferor Company) into AYM Syntex Limited (Transferee Company). The meeting was convened pursuant to NCLT Mumbai Bench order dated April 6, 2026. Out of 1,125 unsecured creditors on record (cut-off date September 30, 2025), 52 creditors attended via video conferencing and 54 voted through remote e-voting. All 54 creditors (100%) voted in favour of the amalgamation scheme with zero votes against. The total value of votes cast was INR 52.62 crore representing outstanding dues. The scheme is now pending final sanction from NCLT.
The unanimous approval by unsecured creditors removes a key hurdle for the amalgamation. Shareholders of AYM Syntex should monitor for NCLT sanction and subsequent swap ratio/allotment details which will determine the impact on their holdings.
