B2B Software Technologies Ltd has submitted the proceedings of its Postal Ballot concluded on March 16, 2026. Two ordinary resolutions were passed with overwhelming shareholder approval (99.9992% in favour, just 0.0008% against). The first resolution approves the issue of bonus shares in a 1:2 ratio (one new equity share for every two existing shares), to be issued by capitalising up to Rs. 5.79 crore from retained earnings. Shareholders will receive 1 bonus share for every 2 shares they currently hold, effectively increasing their share count by 50% without any cost, though the share price typically adjusts downward proportionately post-ex-bonus date. The expanded authorised capital gives the company greater flexibility for future fund-raising or further corporate actions.
