Bajaj Healthcare has converted all 20,79,409 outstanding warrants into equity shares at ₹338 per share (face value ₹5 + premium ₹333). The warrants were originally issued in September 2024 to 8 allottees, including promoter Mr. Sajankumar Rameshwarlal Bajaj, promoter group member Mr. Anil Champalal Jain, and six non-promoter public allottees. The company received the balance 75% consideration of about ₹52.71 crore, bringing total warrant value to roughly ₹70.28 crore. As a result, the paid-up share capital increased from 3,15,83,252 shares to 3,36,62,661 shares, a dilution of about 6.6%. The largest non-promoter allottee is Swastik Capital, which received 7,82,574 shares. No warrants remain outstanding after this conversion.
Existing shareholders face a modest ~6.6% dilution, but since the warrants were already issued in 2024, this is a pre-known event and the capital was already partially collected. The company's share base is now expanded, and no further dilution from these warrants is pending.
