Bajaj Housing Finance has raised ₹3,500 crore by allotting 3,50,000 secured NCDs (face value ₹1,00,000 each) to institutional investors through a private placement on 12 June 2025. The issue is split into two tranches: Option I of ₹2,500 crore carrying a 7.08% annual coupon with a 5-year tenure (maturing June 2030), and Option II of ₹1,000 crore carrying a 6.90% annual coupon with about 2.2 years tenure (maturing August 2027). The NCDs will be listed on BSE's Wholesale Debt Market segment and are secured by a first pari-passu charge on the company's book debts and loan receivables with 1x security cover. Interest will be paid annually on both tranches.
This is a pure debt raise with no equity dilution for shareholders. The borrowing will likely be used to grow Bajaj Housing Finance's loan book, and the coupon rates (6.90%–7.08%) are in line with current market rates for a high-quality housing finance company, suggesting healthy investor demand for its debt paper.
