Bajaj Housing Finance has allotted 1,50,000 secured, redeemable non-convertible debentures (NCDs) on a private placement basis, raising approximately ₹1,503.04 crore. Each NCD has a face value of ₹1,00,000 and carries a coupon of 7.50% per annum, paid annually. The instruments have a 10-year tenure (3,652 days), maturing on 9 April 2035. The NCDs (ISIN: INE377Y07540) will be listed on the Wholesale Debt Market segment of BSE and are secured by a first pari-passu charge on the company's book debts and loan receivables, with a 1.00x security cover. The allotment was approved by the Debenture Allotment Committee on 9 April 2025.
This is a routine debt raise to fund the company's housing finance lending operations. Since these are NCDs (not equity), there is no dilution for shareholders. The 7.50% coupon reflects current market borrowing costs and is unlikely to materially move the stock price.
