BSE Limited has imposed a fine of Rs. 11,91,800 (inclusive of GST) on Balmer Lawrie Investments Ltd for non-compliance with SEBI Listing Regulations during the quarter ended 31st March 2025. The violations relate to Regulations 17(1), 17(2A), 18(1), 19(1)/19(2) and 20(2A), primarily because the Board had fewer than 6 directors and lacked an Independent Director and a Woman Director. As a result, board meeting quorum requirements and the composition of the Audit Committee, Nomination & Remuneration Committee, and Stakeholders' Relationship Committee could not be met. The company is a Central Public Sector Enterprise under the Ministry of Petroleum & Natural Gas, and board appointments are made by the Government of India, which the company states is beyond its control. The company plans to make a representation to BSE seeking a waiver of the fine.
The financial impact is minimal — Rs. 11.91 lakhs is a small amount and is only a contingent liability, not an immediate cash outflow. The real concern is governance-related: persistent board composition issues could dent investor confidence, though as a government entity the company has limited control over director appointments.
