BSE Limited has imposed a fine of Rs. 9,88,840 (inclusive of GST) on Balmer Lawrie Investments Ltd for non-compliance with SEBI Listing Regulations during the quarter ended 31st December 2025. The non-compliance related to Regulations 17(1), 17(2A), 18(1) and 19(1)/19(2), as the Board had fewer than 6 directors and lacked the required Independent Directors and Woman Director. This also impacted the composition of the Audit Committee and Nomination & Remuneration Committee. The company, being a Central Public Sector Enterprise under the Ministry of Petroleum & Natural Gas, has stated that board appointments are controlled by the Government of India and beyond its control, and has applied to BSE for a waiver of the fine.
The fine creates a contingent liability of about Rs. 9.89 lakh, which is immaterial relative to the company's size. The root cause is government-controlled board appointments, not company mismanagement, and a waiver request has been filed, so the long-term impact on shareholders is expected to be negligible.
