Balrampur Chini Mills submitted the minutes of its 49th AGM held on August 30, 2025 via video conferencing, attended by 55 members. All eight resolutions were passed with requisite majority, including adoption of standalone and consolidated audited financial statements for FY25, confirmation of Rs. 3.00 per share dividend (already paid as interim, now confirmed as final), and re-appointment of Ms. Avantika Saraogi as Director. Mr. Praveen Gupta was re-appointed as Whole Time Director for two years (July 2025 to June 2027), and Ms. Mamta Binani was re-appointed as Independent Director for a second five-year term (November 2025 to November 2030) via special resolution. M/s Mani & Co.'s cost auditor remuneration of Rs. 4.80 lakh was ratified, and M/s MKB & Associates was appointed as Secretarial Auditor for five years. The Chairman highlighted financial performance, sugar and ethanol industry outlook, and the status of the Polylactic Acid (PLA) project.
Routine regulatory filing of AGM minutes; no new material action item for shareholders. Shareholders may note the continuation of Rs. 3 per share dividend and ongoing progress on the PLA diversification project. Worth observing is the relatively higher dissent (~11.5%) on the re-appointment of an Independent Director, which is unusual compared to other resolutions that passed with near-unanimous support.
