Batliboi Limited announced the results of its Postal Ballot conducted through remote e-voting, which concluded on January 20, 2026. Two special resolutions were put to shareholders. The first, to increase the borrowing limit under Section 180(1)(c) of the Companies Act, 2013, was passed with 99.49% votes in favour (3.39 crore shares). The second, to create security by way of charge, mortgage, or pledge on company assets under Section 180(1)(a), was passed with 99.49% votes in favour as well. Out of 14,772 shareholders on record date, only 62 members cast their votes. Promoters voted unanimously in favour (100%), while public non-institutional shareholders supported the resolutions with about 89% approval.
These approvals give the Batliboi board enhanced flexibility to raise larger borrowings and pledge company assets as collateral. For shareholders, this could signal plans for higher debt-funded activity, which may affect future interest costs and financial risk.
