Bayer CropScience has called its 67th AGM on Thursday, August 21, 2025, at 11:30 a.m. IST, to be held via video conferencing. The key item for shareholders is the declaration of a final dividend of ₹35 per share, on top of the ₹90 per share interim dividend already paid during FY25, taking total dividend to ₹125 per share for the year. The AGM also seeks shareholder approval to adopt the audited FY25 financial statements and to re-appoint Dr. Thomas Hoffmann, who retires by rotation. On the special business side, shareholders will vote to appoint Mr. Sanjiv Rangrass as an Independent Director for five years (August 2025 to July 2030), appoint M/s. S.N. Ananthasubramanian & Co. as Secretarial Auditors for five years (FY26–FY30), and ratify the ₹0.63 million remuneration of M/s. D.C. Dave & Co. as Cost Auditors for FY26. The final dividend, if approved, will be paid on or after September 2, 2025 to shareholders on record as of August 7, 2025.
Shareholders are set to receive a total dividend of ₹125 per share for FY25 (₹90 interim + ₹35 final), which is the main tangible benefit from this AGM. The director and auditor appointments are routine governance items and unlikely to materially move the stock in the short term.
