Bayer CropScience's Board, at a meeting on June 11, 2025, noted that Mr. Sekhar Natarajan will complete his first term as Independent Director on August 6, 2025 and has decided not to seek reappointment for a second term. He will also step down as Chairman of the Audit Committee and as a member of the Nomination and Remuneration Committee and Risk Management Committee on the same date. To fill the vacancy, the Board appointed Mr. Sanjiv Rangrass as Additional Independent Director for a five-year term from August 1, 2025 to July 31, 2030, subject to shareholder approval at the upcoming 67th AGM. Mr. Rangrass is a former ITC Group Head (R&D, Sustainability and Projects) and ex-CEO of ITC's agri-business, currently an Independent Director at Zetwerk and co-founder of TAC, an agri think-and-do tank.
This is a routine board refresh with no operational or strategic disruption. The outgoing director's term is ending naturally and a qualified replacement with deep agri-business experience is lined up, which should keep board continuity intact.
