BCPL Railway Infrastructure held its 29th AGM on 11 August 2025 from 4:00 PM to 5:20 PM via video conferencing. Chairman Mr. Aparesh Nandi highlighted that the company has rewarded investors with a CAGR of over 14% since inception. MD Mr. Jayanta Kumar Ghosh and CFO Mr. Uday Narayan Singh reviewed FY25 performance, with the CFO noting that the team successfully executed OHE (overhead electrification) work in the strategically important Chicken's Neck Area connecting the north-eastern states. Five resolutions were transacted, including approval of audited FY25 financials, a dividend of Re. 1.00 per share on equity shares of Rs 10 face value, re-appointment of Mr. Aparesh Nandi as director, disinvestment of a 22% stake (34,32,000 shares) in subsidiary BCL Bio Emery Private Limited to group company Phoenix Overseas Limited, and appointment of M/s TP and Associates as Secretarial Auditor for five years. The statutory auditor confirmed a clean (unqualified) report.
The AGM concluded routine business without surprises, including a modest Re. 1.00 per share dividend. The disinvestment of the subsidiary stake to a related group company is an intra-group restructuring and unlikely to materially affect shareholders. E-voting results on all five resolutions will be announced separately after the scrutinizer's report.
