BCPL Railway Infrastructure has submitted its Annual Report for FY25 and called its 29th AGM on 11 August 2025 at 4 PM via video conferencing. Shareholders will consider a final dividend of Rs. 1.00 per share on equity shares of Rs. 10 face value. A special resolution seeks approval to divest the company's 22% stake (34,32,000 shares) in subsidiary BCL Bio Energy Private Limited to group company Phoenix Overseas Limited, after which BCL Bio Energy will cease to be a subsidiary. The AGM also includes the re-appointment of Chairman Aparesh Nandi (retiring by rotation) and the appointment of M/s TP and Associates as Secretarial Auditors for a five-year term ending 31 March 2030. The annual report highlights upcoming railway electrification projects across Bihar, Assam, Odisha, Madhya Pradesh, Karnataka and Punjab.
Neutral to mildly positive for shareholders — a modest Rs. 1 per share dividend is declared, and the subsidiary divestment allows BCPL to focus on its core railway infrastructure business, though shareholders will need to approve the BCL Bio Energy sale at the AGM.
