Bengal & Assam Company Ltd has informed the exchange about a transfer of 7,93,332 shares (6.96% of share capital) that were held by Shripati Singhania HUF, following the dissolution of the HUF. The shares, which were registered in the name of Anshuman Singhania (Karta of the HUF), are being distributed equally among the three co-parceners — Vinita Singhania, Anshuman Singhania, and Shrivats Singhania — with each receiving 2,64,444 shares. The transfer is being done through an off-market trade without any consideration and falls under Regulation 10(1)(a)(i), which exempts inter-se transfers among promoter group members from the open offer requirement. After the transfer, each individual's stake rises to roughly 2.6–3.6% from below 1.4% earlier, while the aggregate promoter group holding remains unchanged at around 8.9%.
This is an internal family restructuring (HUF dissolution) within the promoter group, with no change in total promoter shareholding and no money changing hands. There is no material impact on the stock price or minority shareholders, as the overall promoter ownership stays the same.
