CRISIL Ratings has submitted its monitoring report for Best Agrolife's preferential issue of convertible warrants. The company raised Rs 37.50 crore (25% of the issue size) in December 2024, but no additional funds were received during Q4 FY2026. Of the Rs 150 crore total issue size, Rs 112.50 crore remains pending from warrant holders. No funds were deployed during the quarter — all Rs 112.50 crore remains unutilized. Key concern: the company executed a stock split (FV Rs 10 to Rs 1) and 1:2 bonus issue, revising the warrant exercise price to Rs 64 per share. However, the stock was trading around Rs 17.75 as of May 4, 2026 — significantly below the exercise price — raising serious doubts about whether warrant holders will exercise their conversion rights.
The large gap between the stock price and warrant exercise price creates a high risk that warrant holders will not convert, potentially leaving Rs 112.50 crore of proceeds unrealized. This could delay or scale down the company's capital expenditure and working capital plans. Shareholders should monitor whether the stock recovers above Rs 64 to trigger conversion.
