BGR Energy Systems reported deeply negative Q1 FY26 results with a standalone net loss of Rs. 26,302 lakhs, more than double the Rs. 11,764 lakhs loss in Q1 FY25. Revenue from operations fell to Rs. 8,861 lakhs from Rs. 17,382 lakhs a year ago, while finance costs alone stood at Rs. 18,245 lakhs. The statutory auditor issued an adverse conclusion citing material uncertainty on going concern, noting continuous cash losses, negative net worth, and loss of major customers. Promoters have infused Rs. 43,318 lakhs as unsecured loans to keep operations running. Separately, CFO Mr. S. Pattabiraman is being re-designated as Vice President – Accounts from September 1, 2025, and existing Company Secretary Mr. S. Sundar will take over as CFO in addition to his current role. The board also recommended appointing M/s S. Satheesh Kumar & Associates as Secretarial Auditor for five years (FY26–FY30).
The stock remains under serious financial stress with widening losses, negative reserves of Rs. 1,39,324 lakhs (standalone), and the auditor flagging going concern doubts — shareholders should expect continued pressure on the stock. The CFO re-designation to a VP role while the Company Secretary doubles up as CFO is unusual and may raise governance concerns about fresh financial leadership during a crisis.
