BGR Energy Systems held its 39th AGM on 26th September 2025 via video conferencing, where all six resolutions were passed with the required majority. Ordinary resolutions included adoption of audited financial statements, re-appointment of Mr. Ganesan Jeyakrishna as a Director, appointment of M/s. S. Satheesh Kumar & Associates as Secretarial Auditors for five years, and ratification of the Cost Auditor's remuneration for FY 2025-26. Two special resolutions were also approved: revocation of the earlier approved increase in Authorised Share Capital (from Rs. 100 crore to Rs. 1,700 crore), and ratification of the Managing Director's remuneration. The share capital increase is being revoked because the company's bank accounts have been classified as Non-Performing Accounts (NPA) by its lenders, making the capital increase unfeasible for now.
The disclosure that the company's bank accounts have turned Non-Performing Asset (NPA) is a significant red flag signalling financial stress and serious liquidity issues for shareholders. The reversal of the authorised share capital hike limits the company's ability to raise fresh equity easily, while the ratification of MD remuneration during a financially stressed period may draw investor criticism.
