The violations relate to board composition requirements, specifically the appointment of Independent Directors and related committee constitution. BCCL, a CPSE subsidiary of Coal India under the Ministry of Coal, states the non-compliance is beyond its direct control as independent director appointments require Government of India approval. The company has placed the matter before its Board on 30 May 2026 and is seeking waiver of the fine while actively pursuing the Ministry of Coal for the required appointments.
