At the Annual General Meeting on July 30, 2025, shareholders of Bharat Gears Limited approved the appointment of three new Non-Executive Independent Directors: Mr. Satya Prakash Mangal (Chartered Accountant), Mr. Bharat Dev Singh Kanwar (chemical engineer with automotive industry experience), and Mr. Nagar Venkatraman Srinivasan (reappointed, former long-serving employee with 33 years at the company). Each appointment is for a 5-year term. Two existing Independent Directors, Mr. Virendra Kumar Pargal and Mr. Rakesh Chopra, ceased to hold office at the close of business on July 30, 2025, after completing two consecutive 5-year terms each (10 years total), as mandated under SEBI's maximum tenure rules. The Board placed on record its appreciation for the outgoing directors' contributions. All new appointees are confirmed as not debarred by SEBI or any other authority.
