BPCL has issued the notice for its 72nd Annual General Meeting to be held on Monday, August 25, 2025 at 10:30 AM IST through video conferencing. The Board has recommended a final dividend of ₹5 per equity share (50% on face value of ₹10) for FY 2024-25, with July 31, 2025 fixed as the record date. The AGM agenda includes adoption of audited financial statements, appointment/reappointment of five directors (including three Independent Directors and a new Director Marketing, Shri Subhankar Sen), and ratification of statutory and cost auditors. Two material related party transactions are also on the agenda: a sponsor senior debt and guarantee of up to $238 million (~₹2,037 crore) for the Mozambique LNG1 project, and other Mozambique project transactions worth up to ~$1,000 million (~₹8,600 crore) involving BPCL's step-down wholly owned subsidiaries. Remote e-voting will be open from August 20 to August 24, 2025 via NSDL.
Shareholders as on the record date of July 31, 2025 will be eligible for the ₹5 final dividend, to be paid within 30 days of AGM approval. The Mozambique LNG-related transactions signal continued capital commitment to the overseas upstream project, which may have long-term strategic value but adds exposure to foreign currency and project execution risks. The board refresh with multiple new director appointments could bring fresh oversight to the company's operations.
