BPCL is seeking shareholder approval through a postal ballot (e-voting from March 30 to April 28, 2026) for a material related party transaction with Petronet LNG Limited worth up to Rs. 8,438.61 crore for FY 2026-27. The bulk (~94%) is for purchase of Regasified Liquefied Natural Gas (RLNG) at the Kochi and Dahej terminals, with smaller amounts for regasification services (Rs. 481 crore) and tanker lorry loading. Petronet LNG is an associate company of BPCL, with BPCL holding a 12.50% stake, and BPCL's CMD sits on Petronet's board. The proposed value is lower than last year's approved Rs. 8,850 crore but higher than the estimated Rs. 5,386 crore actually used in FY 2025-26 (April-December 2025).
