BPCL has submitted its Annual Secretarial Compliance Report for the financial year ended March 31, 2026. The secretarial auditor from Ragini Chokshi & Co. identified non-compliance with Regulation 17(1)(b) of SEBI LODR regarding Board composition. The company failed to maintain at least half of its Board as Independent Directors since its Chairperson is an Executive Director. From March 28, 2026, the company had no Independent Directors due to completion of their tenure. BSE and NSE have imposed cumulative fines of approximately Rs. 16.22 lakh (including GST) across Q1-Q3 FY26 for this non-compliance. BPCL has requested penalty waiver, citing that as a Government Company, all Board appointments depend on nominations from the Ministry of Petroleum & Natural Gas. The company states it has been making representations to the Ministry for appointment of Independent Directors.
The persistent governance issue with Independent Director composition poses reputational and regulatory risks. While the company awaits Government nominations, it remains non-compliant with SEBI norms. The penalty waiver request outcome could impact investor sentiment, though as a PSU, government backing limits downside risk.
