Bharat Rasayan Limited has called its 36th AGM on September 19, 2025, in New Delhi, along with releasing its Annual Report for FY 2024-25. The company reported a strong recovery in FY25 with total income of ₹1,199.02 crores (up from ₹1,065.52 crores in FY24), Profit Before Tax of ₹169.19 crores (vs ₹109.41 crores), and Profit After Tax of ₹125.10 crores (vs ₹81.60 crores). EPS jumped to ₹301.07 from ₹196.40 the previous year. The Board has recommended a dividend of ₹1.50 per equity share (15%) for FY25. AGM agenda items include adoption of accounts, dividend declaration, re-appointment/rotation of directors, revision in remuneration of Executive Director Ajay Gupta, appointment of Upendra Singh as Independent Director for 5 years, and approval of material related party transactions with B R Agrotech (up to ₹700 crores), Bharat Certis Agriscience (up to ₹150 crores), and Nissan Bharat Rasayan (up to ₹300 crores). Chairman Sat Narain Gupta has voluntarily opted for no salary or profit-based commission from FY25-26 onwards.
FY25 shows a meaningful earnings recovery after a dip in FY24, with PAT up over 53% year-on-year and EPS rebounding strongly. The 15% dividend is consistent with prior payouts. Shareholders should note the large related party transaction approvals (cumulatively up to ₹1,150 crores) and the leadership remuneration changes, which include the CMD forgoing future salary/commission.
